EXHIBIT A

As consideration for ScanPay provision of its services, including granting Merchant access to the Platform under the terms of services of ScanPay available here [https://www.goscanpay.com/terms-of-platform] (the “Terms”), the undersigned Guarantor(s) (which may include the Merchant) jointly and severally, unconditionally personally guarantees and agrees to be liable to ScanPay for the full, prompt and indefeasible payment and performance of all now existing and future indebtedness, obligations or liabilities of Merchant arising under these Terms.  If the Merchant’s Customer defaults, the undersigned Guarantor(s) will immediately pay all sums due under the terms of the agreement and will perform all of the Customer’s obligations, as applicable under these Terms. It is not necessary for ScanPay to proceed first against the Customer or the Merchant, as applicable, before enforcing this Guaranty. By signing below, the Guarantor(s) certifies that the financial information given to ScanPay is true, complete and accurate in all material respects.  The undersigned Guarantor(s) authorize us to obtain credit bureau reports for credit and collection purposes and to share them with our affiliates and agents.  The undersigned Guarantor(s) agrees that should it be necessary for us to enforce this guaranty, they expressly individually consent to the application of paragraphs 14 and 15 of the Terms.  All capitalized terms not defined herein shall have the meaning ascribed to them in the Terms.
